Welcome to LogistiCall by WireBee. These Terms of Service govern your access to and use of our website, applications, and services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

Eligibility

By using our Services, you represent and warrant that you:

• Are at least 18 years old or the age of majority in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Will comply with these Terms and all applicable laws and regulations.

If you are using the Services on behalf of a company or organization, you represent and warrant that you are authorized to bind that entity to these Terms.

Changes to Terms

We may propose modifications to these Terms from time to time. Any changes will be effective only upon mutual written agreement between the parties.

User Accounts

To access certain features of the Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Keep your account credentials confidential and secure.
• Notify us immediately of any unauthorized use of your account.

You are solely responsible for all activities that occur under your account that are not as a result of any acts or omissions by WireBee or a breach in account security on WireBee's part. WireBee is not liable for any loss or damage resulting from unauthorized access to your account that is as a result of acts or omissions by you.

Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

• Use the Services in a manner that violates any applicable law or regulation.
• Infringe upon or violate the rights of others.
• Interfere with the proper functioning of the Services.
• Upload, transmit, or distribute any harmful or malicious content.
• Attempt to gain unauthorized access to any part of the Services or related systems.

We implement appropriate technical and organizational measures to protect your information from unauthorized access, alteration, disclosure, or destruction. While we strive to safeguard your data, no security measures are infallible, and we cannot guarantee absolute security.

Fees and Payment

Certain features of the Services may require payment of fees. By selecting a paid plan, you agree to:

• Pay all applicable fees and taxes in a timely manner.
• Allow WireBee to charge your payment method for recurring subscriptions, if applicable.

We agreed to a certain fee structure in the service order form.

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and trademarks, are owned by WireBee or its licensors and are protected by intellectual property laws. You may not:

• Reproduce, modify, distribute, or create derivative works based on the Services without our prior written consent.
• Use our trademarks, logos, or branding without permission.

Data Processing

Any Personal Data processed on your behalf by WireBee shall be subject to the terms of the DPA signed between you and WireBee.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. WireBee does not warrant that:

• The Services will meet your requirements.
• The Services will be uninterrupted, secure, or error-free.
• Any errors in the Services will be corrected.

Limitation of Liability

To the fullest extent permitted by law, either party and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising from:

• Your use or inability to use the Services.
• Unauthorized access to or alteration of your data.
• Any other matter related to the Services.

Either party and its affiliates' total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to WireBee for the Services in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless WireBee, and their respective officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses arising from your:

• Unauthorized use of the Services.
• Violation of these Terms.
• Infringement of any rights of another party.

Termination

We may suspend or terminate your access to the Services at our sole discretion, without prior notice, if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved under the exclusive jurisdiction of the courts of the State of Delaware.

Miscellaneous

These Terms, along with our Privacy Policy, the Mutual Confidentiality and Non-Disclosure Agreement, and the Code of Conduct Certification, constitute the entire agreement between you and WireBee.

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: The failure of WireBee to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
